These Terms & Conditions (“Terms”) govern your access to and use of the website https://hooperweld.com and any related content, features, or services provided by Hooper Weld (“Hooper Weld,” “we,” “us,” or “our”).

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not access or use the Site.

1. Acceptance of Terms

1.1 By visiting, browsing, or using the Site, you confirm that:

• You have read, understood, and agree to these Terms; and

• You will comply with all applicable laws and regulations when using the Site.

1.2 These Terms form a legally binding agreement between you and Hooper Weld.

1.3 If you are using the Site on behalf of a company or other legal entity, you represent and warrant that you have authority to bind that entity, and “you” will refer to that entity.

2. Eligibility

2.1 You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Site.

2.2 By using the Site, you represent that you have the legal capacity to enter into these Terms and that you are not prohibited from using the Site under applicable law.

3. Scope of Services

3.1 The Site provides information about Hooper Weld’s welding, fabrication, and related services, including mobile welding and structural/commercial welding services, and allows you to contact us for quotes or inquiries.

3.2 Any descriptions of services, pricing, availability, or timing provided on the Site are informational only and do not constitute a binding offer. Any actual service engagement will be governed by a separate written estimate, work order, or service agreement between you and Hooper Weld.

3.3 We reserve the right to modify, suspend, or discontinue any part of the Site or services at any time without notice.

4. User Accounts (If Applicable)

4.1 The Site may allow or in future allow you to create an account or portal. If you create an account, you must:

• Provide accurate, current, and complete information;

• Maintain and promptly update such information; and

• Keep your login credentials confidential and secure.

4.2 You are solely responsible for all activity under your account. If you suspect unauthorized use of your account, you must notify us immediately.

4.3 We may suspend or terminate accounts at our sole discretion for any violation of these Terms or suspected misuse.

5. Permitted & Prohibited Conduct

5.1 Permitted Use

You may use the Site solely for:

• Learning about our services;

• Requesting quotes or contacting us;

• Any other lawful business purpose reasonably related to our services.

5.2 Prohibited Conduct

You agree not to:

a. Use the Site for any unlawful, fraudulent, or malicious purpose;
b. Violate any applicable law, regulation, or third-party right;
c. Attempt to gain unauthorized access to any portion of the Site, accounts, or systems;
d. Interfere with or disrupt the operation of the Site, including by introducing malware, viruses, or harmful code;
e. Scrape, crawl, harvest, or use any automated means (bots, spiders, etc.) to access the Site, except for standard search engine indexing;
f. Reverse engineer, decompile, or attempt to extract source code from any software connected to the Site;
g. Use the Site to send unsolicited or unauthorized advertising, spam, or similar materials;
h. Misrepresent your identity or affiliation when communicating with us.

We may investigate and take appropriate legal or technical action for any violation of this Section.

6. Intellectual Property Rights

6.1 All content on the Site—including text, graphics, logos, images, icons, video, audio, layout, and design—together with the “Hooper Weld” name and any associated trademarks or logos (collectively, the “Hooper Weld IP”) is owned by or licensed to Hooper Weld and is protected by copyright, trademark, and other intellectual property laws.

6.2 Except as expressly allowed in these Terms, you may not:

• Reproduce, distribute, modify, or create derivative works from the Hooper Weld IP;

• Use any trademark, logo, or service mark without our prior written consent;

• Remove or alter any proprietary notices on the Site.

6.3 Hooper Weld grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for lawful purposes in accordance with these Terms. This license does not include any resale or commercial use of the Site or its contents beyond engaging Hooper Weld for services.

7. User Content & License

7.1 “User Content” means any information, text, images, drawings, photos, or other materials that you submit or send to us through the Site or via email, such as project specifications, reference images, or feedback.

7.2 You represent and warrant that:

• You own or have the necessary rights to submit the User Content;

• The User Content does not violate any third-party rights (including intellectual property, confidentiality, or privacy rights);

• The User Content is accurate, to the best of your knowledge, and lawful.

7.3 By submitting User Content, you grant Hooper Weld a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, store, display, and adapt such User Content solely for:

• Evaluating and providing services to you;

• Communicating with you;

• Internal training, quality control, and record-keeping;

• Showcasing completed work (only with your consent where required, and in a manner consistent with any separate service agreement).

7.4 We may remove or refuse any User Content that we believe violates these Terms or is otherwise objectionable.

8. Privacy

8.1 Your use of the Site is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information.

8.2 By using the Site, you acknowledge that you have read and understood our Privacy Policy and agree to its terms.

9. Third-Party Links & Services

9.1 The Site may include links to third-party websites or services that are not owned or controlled by Hooper Weld.

9.2 We do not endorse or assume responsibility for any third-party sites or services. Your use of third-party sites is at your own risk and subject to their terms and policies.

10. Disclaimers

10.1 No Warranty for Site.
The Site and all content are provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, whether express, implied, or statutory, including without limitation any implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of dealing.

10.2 No Guarantee of Availability.
We do not warrant that the Site will be uninterrupted, error-free, secure, or free from viruses or other harmful components.

10.3 Informational Only.
Information on the Site is for general informational purposes and does not constitute professional advice, a binding quote, or a guarantee of any specific result. Any actual welding or fabrication work you engage us for will be subject to a separate written agreement.

10.4 Jurisdictional Limitations.
Some jurisdictions do not allow the exclusion of certain warranties. In such jurisdictions, our disclaimers shall apply to the maximum extent permitted by law.

11. Limitation of Liability

11.1 To the maximum extent permitted by law, in no event shall Hooper Weld, its owners, employees, contractors, or agents be liable for any:

• Indirect, incidental, special, consequential, or punitive damages;

• Loss of profits, revenue, data, goodwill, or business opportunity;

arising out of or in connection with your use of (or inability to use) the Site, even if we have been advised of the possibility of such damages.

11.2 To the extent we are found liable notwithstanding the above, our aggregate liability for all claims arising out of or relating to these Terms or the Site shall not exceed one hundred U.S. dollars (US $100) or the amount you actually paid to us for Site-specific services in the three months preceding the event giving rise to the claim, whichever is greater.

11.3 These limitations apply regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and to the fullest extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Hooper Weld, its owners, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

• Your use or misuse of the Site;

• Your violation of these Terms;

• Your infringement or alleged infringement of any third-party right (including intellectual property or privacy rights);

• Your User Content.

We reserve the right to assume exclusive defense and control of any matter subject to indemnification, in which case you will cooperate with us in asserting available defenses.

13. Suspension & Termination

13.1 We may, in our sole discretion and without prior notice, suspend or terminate your access to the Site (including any account you may have) if we believe that:

• You have violated these Terms;

• Your use poses a security or legal risk;

• We are required to do so by law or regulatory authority.

13.2 Upon termination, your right to access and use the Site immediately ceases. Sections intended to survive termination (including but not limited to Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law) shall remain in effect.

14. Governing Law

These Terms and any dispute arising out of or relating to them or your use of the Site shall be governed by and construed in accordance with the laws of the State of Indiana, without regard to its conflict of law principles.

15. Dispute Resolution & Venue

15.1 Informal Resolution.
Before initiating any legal action, you agree to first attempt to resolve any dispute or claim with Hooper Weld informally by contacting us at info@hooperweld.com and allowing at least thirty (30) days for us to respond.

15.2 Court Proceedings.
If a dispute cannot be resolved informally, any legal action or proceeding arising out of or relating to these Terms or your use of the Site shall be brought exclusively in the state or federal courts located in Marion County, Indiana, USA. You consent to the personal jurisdiction and venue of such courts and waive any objection based on inconvenient forum.

15.3 Time Limitation.
To the extent permitted by law, any claim arising out of or relating to these Terms or the Site must be filed within one (1) year after the claim arose or be forever barred.

16. Modifications to These Terms

16.1 We may update or modify these Terms at any time.

16.2 When we do so, we will revise the “Effective Date” at the top of this page. Updated Terms are effective when posted on the Site unless otherwise stated.

16.3 Your continued use of the Site after any changes to the Terms constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you must stop using the Site.

17. Assignment

You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms, in whole or in part, without restriction.

18. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall continue in full force and effect.

19. No Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Hooper Weld.

20. Entire Agreement

These Terms, together with our Privacy Policy and any separate written service agreement or work order you enter into with us, constitute the entire agreement between you and Hooper Weld regarding your use of the Site and supersede all prior or contemporaneous understandings, agreements, or communications.
